1. Parties
AgentSure Pte. Ltd. (UEN 202620442W), 160 Robinson Road #14-04 SBFC, Singapore 068914 ("AgentSure", "we", "us"), and you, either acting on your own behalf or as authorised representative of your employer ("Customer", "you").
If you are using AgentSure on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. The Services
2.1 What we provide
- Quantify Scan — Self-serve automated AI risk scan against an LLM endpoint you designate
- Quantify Monitor — Continuous re-scanning, drift alerts, vertical-pack auto-routing
- Quantify Underwrite — Bespoke audit engagement under a separate Master Services Agreement (MSA) and Statement of Work (SoW)
- Pulse — Searchable Singapore AI regulatory atomic clauses and applicability diagnostic
2.2 No regulatory certification
Our Services produce technical findings that may inform your compliance posture. They do not constitute regulatory certification, legal opinion, or accounting attestation.AgentSure is not registered with, accredited by, or acting as agent for any regulatory authority. You remain solely responsible for your own compliance with applicable laws and regulations, including Singapore's PDPA, MAS notices, and the Computer Misuse Act.
2.3 Independent contractor
AgentSure performs the Services as an independent contractor. Nothing here creates a partnership, agency, fiduciary, or employment relationship. We have no authority to represent you to any regulator, court, or third party absent your specific written direction.
3. Your obligations
3.1 Authority and authorisation
You represent and warrant that you have the right to grant us access to your AI Systems and to authorise the adversarial testing methods used by Quantify, including prompt injection, jailbreak attempts, data extraction probes, and red-team scenarios. You further represent that your rights extend to authorising such testing despite any third-party LLM provider's terms of service (you are responsible for procuring necessary permissions or accepting account risk).
3.2 API credentials and spend cap
Where you provide API credentials (e.g., OpenAI, Anthropic, DeepSeek, AWS Bedrock) to AgentSure for use during an Assessment, you must comply with the Acceptable Use Policy §3, including:
- Configure a spend cap of no more than USD 500 per Assessment cycle (or another amount in the SoW)
- Rotate credentials within seven (7) days following Assessment completion
- Accept sole liability for all usage charges incurred, whether authorised or not
3.3 Accurate information
You will provide accurate and complete information about the AI System being assessed: model identifier, endpoint URL, business use case, and any sensitive-data considerations. Our findings are based on the scope you represent.
3.4 No unlawful use
You will not use the Services to assess AI Systems for which you lack authorisation, including third-party systems, public endpoints not your own, or systems prohibited from adversarial testing by applicable law.
4. Fees and payment
- Scan — First scan free. After: USD 299/month for unlimited scans. Billed monthly in advance via Stripe.
- Monitor — USD 4,000–8,000/month based on model count and retest cadence. Billed monthly in advance.
- Underwrite — Per the executed SoW. Typically 50% upfront, 50% on Deliverable Acceptance, net 30.
- Late payment — Overdue amounts accrue interest at 1.5% per month or the maximum permitted by Singapore law, whichever is lower.
- Taxes — Fees are exclusive of GST. You are responsible for all taxes other than our income tax.
5. Term and termination
5.1 Term
These Terms commence on your first acceptance and continue until terminated.
5.2 Termination for convenience
Either Party may terminate any subscription on 30 days' written notice (not affecting in-progress Assessments). SoW-based Underwrite engagements run to completion unless terminated for cause.
5.3 Termination for cause
Either Party may terminate immediately on written notice if the other materially breaches and fails to cure within 30 days, or becomes insolvent.
5.4 Effect
- We export your Reports and Customer Data within 30 days, in machine-readable form
- We delete Customer Data (excluding aggregated, anonymised statistical data) within 90 days, subject to legal-hold
- Outstanding fees become immediately payable
- Sections 2.2, 3.1, 6–12 survive termination
6. Confidentiality
Each Party will (a) use Confidential Information only for purposes of these Terms, (b) protect it with at least the same care as its own confidential information (and not less than reasonable care), and (c) not disclose it to third parties except to Affiliates, employees, contractors, and subprocessors with a need to know.
7. Data protection
The processing of personal data is governed by the separate Data Processing Agreement, which forms part of these Terms. In case of conflict on personal-data matters, the DPA prevails.
8. Intellectual property
- AgentSure retains all right, title, and interest in the Quantify Test Suites, the Services platform, Assessment methodology, and derivative works.
- You retain all right, title, and interest in your AI Systems, Customer Data, and any deliverables specifically created for you under a SoW.
- We grant you a perpetual, non-exclusive, non-transferable licence to use Assessment Reports for your internal compliance, regulatory submission, and audit purposes. You may share Reports with your regulators, auditors, and reinsurers for your own purposes. Public republication requires our prior written consent.
9. Warranties and disclaimer
We perform the Services with reasonable care and skill consistent with industry standards for AI risk assessment providers. If a Service falls materially below this standard, our sole obligation, and your sole remedy, is for us to re-perform the affected portion at no additional charge.
10. Limitation of liability
EXCEPT FOR LIABILITY ARISING FROM (A) BREACH OF CONFIDENTIALITY, (B) INDEMNIFICATION OBLIGATIONS, (C) FRAUD OR WILFUL MISCONDUCT, OR (D) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF BUSINESS, REGULATORY PENALTIES, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Notwithstanding the above, you remain solely liable for all charges incurred on Customer-provided API credentials during an Assessment, including over-quota or unauthorised-use charges levied by your LLM providers. Our liability for credential compromise is limited to gross negligence or wilful misconduct, capped at SGD 50,000 or fees paid under the relevant SoW, whichever is lower.
11. Indemnification
- By you: against any third-party claim arising from (a) breach of §3.1 (authority to authorise testing), (b) use of an Assessment Report inconsistent with §8, or (c) your underlying AI System causing harm to a third party.
- By us: against any third-party claim that the Services or Quantify Test Suites infringe that third party's intellectual property rights, provided you notify us promptly and give us sole control of the defence.
12. Miscellaneous
- Governing law: Republic of Singapore. Exclusive jurisdiction of the courts of Singapore.
- Notices: in writing to the registered addresses; email to legal@agentsure.tech and your designated billing contact is sufficient.
- Assignment: neither Party may assign without the other's prior written consent, except we may assign to an Affiliate or successor in a merger, acquisition, or sale of substantially all assets.
- Force majeure: neither Party is liable for delay or failure caused by events beyond reasonable control, including LLM provider outages, internet failures, government actions, or acts of God.
- Entire agreement: these Terms (together with any SoW, the DPA, the AUP, the Subprocessor List, the Privacy Policy, and the Report Disclaimer) constitute the entire agreement.
- Amendments: we may update these Terms; material changes are notified by email and dashboard banner at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
- Severability: if any provision is unenforceable, the rest remains in effect.
